These terms govern your access to and use of tark.finance and the Tark platform. If you use Tark on behalf of an organization, you accept these terms for that organization and confirm you have authority to do so. In these terms, “Tark”, “we” and “us” mean [Tark legal entity].
1. Acceptance of terms
By creating an account, signing an order form or using the platform, you agree to these terms and to our Privacy Policy. If you do not agree, do not use the platform.
2. Description of the service
Tark reads public SEC and DOL filings and public LP reports and sets each figure beside its source. The platform produces Investment Selection Records, benchmark analyses, liquidity tests, peer scorecards, book reviews and a read-only API.
Tark is a documentation tool. It is not an investment adviser, broker-dealer, fiduciary, custodian or law firm, and it does not act in any of those capacities for you. Tark does not approve, recommend or select any investment. Decisions remain with the plan fiduciary.
3. Accounts and registration
You must give accurate information when you register and keep it current. Keep your credentials and API keys confidential. You are responsible for activity under your account and your keys, and you must tell us promptly about any unauthorized use.
4. Fees and billing
Paid plans are billed monthly or annually, as set out in your order form. Pricing depends on the size of your team. Fees are payable in advance, exclude taxes and are non-refundable unless your order form or the law says otherwise. We may change prices for a renewal term by giving notice before it begins.
5. Permitted use
You may use the platform for lawful business purposes. You may not:
- copy, resell or redistribute the record as a dataset, or use it to build a competing product
- access the platform by scraping or other automated means except through the API, or exceed its rate limits of 20 requests a second and 600 a minute per key
- reverse engineer, decompile or interfere with the platform or its security
- upload content you do not have the right to share, or use the platform in violation of law
6. Public data and accuracy
Figures come from public filings and reports as filed. Filings can contain errors, restatements and gaps. Tark shows each figure with its source, marks values read from prose as unverified until a reviewer confirms them, and shows a value without a source as absent. You are responsible for reviewing the record before you rely on it.
7. Your content
You keep all rights in the files and information you upload, such as holdings files, plan lineups and notes. You grant Tark a limited license to host, process and display that content only to provide the platform to you. You confirm you have the right to upload it.
8. Intellectual property
Tark owns the platform, its software, design, rubric and methods, and the compilations and analyses it produces, other than your content. Public filings remain public. Index names and index data belong to their owners, and Tark shows index levels only where it holds a license.
9. Confidentiality
Each party will protect the other’s non-public information with reasonable care and use it only to perform under these terms. This does not apply to information that is public, already known to the receiving party, independently developed, or required to be disclosed by law.
10. Disclaimers
The platform is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of accuracy, merchantability, fitness for a particular purpose and non-infringement. Nothing on the platform is legal, investment, tax or fiduciary advice.
11. Limitation of liability
To the fullest extent the law allows, Tark is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Tark’s total liability for any claim is limited to the fees you paid in the twelve months before the event giving rise to the claim.
12. Indemnification
You will defend and indemnify Tark against third-party claims arising from your use of the platform, your content, or your breach of these terms or of law.
13. Termination
You may stop using the platform at any time. We may suspend or end access for a breach of these terms, non-payment, or a risk to the security of the platform or others. When access ends, your right to use the platform ends. Sections that by their nature should survive termination will survive.
14. Governing law
These terms are governed by the laws of [State], without regard to conflict of law rules. Disputes will be resolved in the state or federal courts located in [County, State], and both parties consent to that jurisdiction.
15. Changes to these terms
We may update these terms. Changes take effect when posted, and we give additional notice of material changes by email or in the product. Continued use after a change means you accept it.
